Welcome to MechaDataCleaner. These Terms of Service ("Terms") govern your access to and use of theMechaDataCleaner application, website, and related services (collectively, the "Service") provided by Mecha Data LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

3. Subscription and Payment

3.1 Subscription Plans

The Service offers various subscription plans with different features and usage limits. Details of available plans and pricing are available on our website.

3.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

3.3 Price Changes

We may change our subscription prices from time to time. We will provide reasonable notice of any price changes, and you will have the opportunity to cancel before the new prices take effect.

3.4 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. We may offer refunds at our sole discretion.

3.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until then.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Upload or process any data containing malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to compete with Mecha Data LLC or for benchmarking purposes
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Use automated systems or software to extract data from the Service ("scraping")

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or your account.

5.3 Data Processing

By using the Service, you acknowledge that Your Data may be processed using artificial intelligence and machine learning technologies to provide data cleaning, schema detection, and related features.

5.4 Data Retention

Uploaded Files and Datasets: Your uploaded CSV, Excel, and other data files are processed in-memory only and are never stored on our servers. These files are automatically deleted when your session ends or when you close the application.

Account Information: We retain account metadata (email, subscription tier, usage logs) for as long as your account is active. Upon account termination, we will delete this information within 30 days, except as required by law.

Billing Records: Payment and billing records may be retained longer than 30 days as required for tax, legal, and accounting compliance.

5.5 Your Responsibility

You are solely responsible for the legality, accuracy, and appropriateness of Your Data. You represent that you have all necessary rights to upload Your Data and that doing so does not violate any third-party rights or applicable laws.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Mecha Data LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

"MechaDataCleaner," "Mecha Data," and related logos are trademarks of Mecha Data LLC. You may not use our trademarks without our prior written consent.

7. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to:

• OpenAI: AI-powered data cleaning and schema inference
• Stripe: Payment processing and subscription management
• Google: OAuth authentication
• Vercel: Website hosting and deployment
• Render: Application hosting
• Email Service Providers: Authentication and transactional emails
• Supabase: Database and authentication services

Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or servers are free of viruses or other harmful components.

AI-generated outputs, including schema suggestions, cleaning recommendations, and DAX measures, are provided for informational purposes and should be reviewed before use. We make no guarantees regarding the accuracy or completeness of AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MECHA DATA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any data loss or corruption resulting from use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mecha Data LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your Data or any content you submit through the Service

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Georgia.

14. Dispute Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at support@mechadata.com. We will attempt to resolve the dispute informally within 30 days.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mecha Data LLC regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
